Terms and Conditions

Welcome to GRAFFIPREP | Graphic Prep Specialists. These Terms and Conditions (“Terms”) govern the technical services provided by GRAFFIPREP (“we,” “us,” or “our”) to you (“the Client”). By submitting a file, requesting a preview, or making a payment, you agree to be bound by these Terms.

1. Scope of Technical Service

GRAFFIPREP is a Technical Lab providing graphic restoration and preparation services.

  • Specialist Role: We are not a creative design agency. Our service is limited to the technical restoration of existing assets (manual vectorization) and ensuring digital files meet production standards (5-point audits).

  • AI-Enhanced Workflow: To ensure maximum precision, we utilize professional Adobe AI-enhanced diagnostic tools under strict human supervision. This "human-in-the-loop" approach ensures technical accuracy that automated generators cannot provide.

2. Right of Refusal & Order Cancellation

We reserve the absolute right to reject a project or cancel a service for any reason, including but not limited to:

  • Technical Unusability: The source file is too degraded for professional restoration.

  • Economic Non-Viability: The Client is unwilling to pay for the level of technical service required to achieve a print-ready result.

  • Hostile Environment: Harassment, unprofessional communication, or conflicting instructions.

  • Content Policy: Files containing illegal, infringing, or hateful material.

3. The "Free Preview" & Proofing Process

  • The Hook: We may provide a low-resolution, watermarked preview of our work for free to demonstrate our capabilities.

  • Ownership of Previews: All preview files remain the sole property of GRAFFIPREP. Unauthorized use, tracing, or removal of watermarks from a free preview is a violation of these Terms and may result in legal action.

4. Tiered Refund & Cancellation Policy

GRAFFIPREP guarantees that our files are technically sound according to standard industry specifications (Vector paths, 300 DPI, CMYK). However, we are not a printing company. We are not liable for any financial loss or ruined physical stock due to:

  • Printer Hardware/Software: Clogged nozzles, poor calibration, or outdated RIP (Raster Image Processor) software at your chosen print shop.

  • Substrate Reactions: How ink interacts with specific materials (vinyl, fabric, textured paper).

  • Color Shifts: Variance between your screen (RGB) and the printer's specific ink profile.

  • Human Error at Production: Incorrect loading, trimming, or finishing by the print shop staff.

  • Recommendation: You must request a "Press Proof" from your printer before a full production run.

6. Client Proofreading & Final Acceptance

You are the final gatekeeper. It is the Client’s responsibility to check:

  • Accuracy: Spelling, phone numbers, and dates.

  • Technical Suitability: Ensuring the file dimensions meet your specific signage or print requirements.

  • Acceptance: Use of the delivered file constitutes "Final Acceptance." GRAFFIPREP is not liable for errors discovered after the file has been sent to production.

7. Intellectual Property & Indemnificationtual Property & Indemnity

  • Ownership: Upon full payment, the rights to the final restored files transfer to the Client.

  • Third-Party Rights: The Client represents that they own or have permission to use the "fuzzy" assets provided to us. GRAFFIPREP is not responsible for verifying copyright.

  • Indemnity: You agree to indemnify and hold GRAFFIPREP harmless from any claims, damages, or legal fees resulting from the restoration of assets you do not have the legal right to use.

8. Limitation of Liability

To the maximum extent permitted by New Zealand law (including the Consumer Guarantees Act 1993, where applicable to B2B transactions), GRAFFIPREP’s total liability for any claim shall not exceed the amount paid by the Client for the specific service in question.

9. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of the courts in Auckland, New Zealand.

10. Pricing & Technical Assessments

All prices quoted on the GRAFFIPREP website are 'starting from' rates. We determine the final cost based on the technical integrity of the provided assets. If our team identifies that a file requires extensive manual vectorization, complex bleed correction, or advanced AI artifact removal beyond the standard scope, a custom quote will be provided. Acceptance of the quote is required before we commence any technical labor.
